TERMS OF SALES OF USINA PHARM SRL
ARTICLE 1 : APPLICABILITY
These General Terms and Conditions of Sale apply and are incorporated into all orders, offers, confirmations, contracts between the Customer (Buyer) and USINA PHARM (Seller). They are the basis of the agreements between the Client and USINA PHARM, a limited liability company whose registered office is based at Rue des Carrières 15, 7041 Havay, in Belgium and registered with the BCE under company number BE 0553.961.456.
The delivery of any order implies on the part of the Customer his acceptance of these general conditions of sale.
ARTICLE 2 : ORDER
The order must be established in writing subject to acceptance of the order by USINA PHARM. The Customer submits purchase orders electronically to usinapharm@hotmail.com or contact@usinapharm.com. The order form must include at least information such as the full contact details of the customer, the designation or reference of the items ordered, the quantity. Subject to the establishment of an offer or not, any order will only be accepted after written confirmation from USINA PHARM. The order expresses the Customer's consent irrevocably. He cannot therefore cancel or modify it except with the prior written consent of USINA PHARM. In the event of a customer request for order cancellation, USINA PHARM may ask the Customer for compensation for all costs incurred (including equipment, labor costs, tools). The order confirmation will constitute proof of the purchase agreed between the two parties.
ARTICLE 3 : DELIVERY
The delivery time is an element which must be specified at the time of the price offer request and will be confirmed at the time of the order confirmation. The stipulated deadlines may be called into question in the event of the occurrence of circumstances beyond the control of USINA PHARM and cannot give rise to damages in the event of delay. From the moment the goods are in the hands of the customer or the carrier, the risks are borne by the buyer, even if the transport costs are borne by the seller. Under no circumstances can we be held liable for the payment of any compensation for damage caused by defects due to the use of the goods that we have delivered. Our warranty is in any event limited to the replacement of non-compliant goods. The removal of the goods is done exclusively at the address of the workshop: USINA PHARM SRL, Avenue du Parc d'Aventures Scientifiques n°6, 7080 Frameries.
ARTICLE 4 : PRICE and PAYEMENT
The prices are established in Euros, excluding taxes, except for special provisions provided for in the order. The price corresponds exclusively to the products and services specified in the offer. Prices may be revised according to fluctuations in raw material indices on the date of manufacture of the parts. Samples/prototypes to be submitted for approval and executed outside the series are invoiced separately.
Payments take place, on the due date mentioned on the invoices, by transfer, to account BE91 1030 3466 8676. The agreed payment dates cannot be called into question by the Customer under any pretext whatsoever, including in case of dispute. A 40% deposit may be requested when placing the order. However, we reserve the right to claim, even during the market, additional guarantees if the customer's solvency seems insufficient to us. Any invoice not paid on its due date will bear interest of 9% per month of delay until final payment and may be subject to collection at sight and additional administrative costs payable by the customer. USINA PHARM reserves the right to block the production of new orders until payment of overdue invoices. Unpaid goods remain the property of USINA PHARM until full payment of the purchase price, in accordance with this clause. Once the goods have been delivered, the Customer bears all risks of loss and deterioration. The risks will be borne by the customer from the time of delivery.
ARTICLE 5 : CONFIDENTIALITY and INTELLECTUAL PROPERTY
The parties undertake never to divulge or communicate, in any way whatsoever, directly or indirectly, confidential information to anyone without the prior written authorization of the other party. They also undertake not to use confidential information or make copies or imitations of this confidential information. The Customer undertakes to take all necessary measures to ensure compliance with this obligation of confidentiality, throughout the duration of the agreement of the order concluded and even after its expiry.
The texts, the database containing the published data, the creations of pages, the content, the images, on the website of www.usinapharm.com are universally protected by copyright, and all other property rights intellectual; therefore, they remain the private property of USINA PHARM. Consequently, any copy, publication, reproduction or other exploitation, violation of any kind whatsoever, is prohibited without the prior written authorization of USINA PHARM. Any violation may give rise to civil or criminal prosecution.
ARTICLE 6 : RESPONSIBILITIES
La responsabilité de USINA PHARM est strictement limitée au respect des spécifications du Client stipulées dans le cahier des charges, plans, schémas fournis par le Client. En cas d'erreur de cotation ou défaut de type de matière la responsabilité de USINA PHARM se limite au remplacement de la marchandise non conforme, sans indemnité d'aucune sorte. La responsabilité de USINA PHARM est exclue pour les défauts provenant des matières fournies par le Client et pour les défauts provenant d'une erreur client.
ARTICLE 7 : DISPUTE
The parties undertake to attempt to settle their disputes amicably before going to the competent court. In the absence of an amicable agreement, any dispute, dispute or disagreement falls within the exclusive jurisdiction of the court of Mons. USINA PHARM reserves the right to refuse any order from a Customer with whom there is a dispute relating to a previous or current order.
